Each trust is not an operating business, but mere a special legal entity created for securitization purposes, i.e. for selling bonds to investors, with the packages of student loans transferred to it – the trust assets -  constituting the collateral and yielding proceeds [or expected to yield proceeds] for distribution to the bond-holders once the student loans would enter the repayment period after the student-borrowers’ graduation. The first cause of action in his amended complaint (read here) sought judicial dissolution of Pedani under LLC Law § 702, alleging that upon Ceres’s departure from the property “the purpose for which Pedani was formed had ceased,” and that the defendant had rejected plaintiff’s request to sell the property and dissolve the LLC.
