The Commissioners re-codified ULLCA §801 as RULLCA §701 and modified it to provide for judicial dissolution of LLCs on the non-waivable grounds that the managers or those members in control of the company are acting illegally, fraudulently or ”in a manner that is oppressive and was, is, or will be directly harmful to the applicant”.
