The two new registration exemptions are for (i) advisers whose only clients are funds excluded from the definition of an investment company by way of Section 3(c)(1) (i.e., a private fund with not more than 100 equity owners) or 3(c)(7) (i.e., a private fund where all of the equity owners are “qualified purchasers”) and has less than $150 million of assets under management, and (ii) advisers whose only clients are venture capital funds as defined by rule by the SEC.
