The business judgment rule represents something of a hot topic now given that  the Georgia Supreme Court will be considering  questions recently certified to it from both the Northern District of Georgia (about which refer here) and from the Eleventh Circuit (about which refer here) on issues pertaining to the scope of the rule’s protections under Georgia law.
