Finally, the Proskauer/Berwins deal strikes me as client-oriented rather than firm-oriented:  It seems designed to create a firm with capabilities that aren't readily replicated elsewhere among its peer group, or otherwise, and if it's grounded in any internal sense of urgency on either side to "do a deal," I just don't see it.
