Although the circuit court recognized that the federal scheme of regulating tender offers is not so pervasive that an implicit congressional intent to preempt parallel state legislation could be inferred from the Williams Act, it found that the IBTA empowered the Illinois Secretary of State to pass upon the substantive fairness of a tender offer and to prohibit it from going forward, if the Secretary judged the offer inequitable.
