If you're the controlling owner of a New York closely held business, and you're thinking about buying out a minority partner, here's my two cents: Don't do it, unless (a) you have zero intention of  selling the company for at least several years, or (b) if you are contemplating a short-term sale of the company, you have a strong stomach for litigation and prior to the buyout you turn over to the minority… [read post]
