Under the FTAIA, the Sherman Act does not apply to export conduct or wholly-foreign conduct unless two jurisdictional requirements are met: (1) the conduct must have a "direct, substantial, and reasonably foreseeable effect" on U.S. domestic commerce; and (2) the domestic effect must "give rise to" the plaintiff's Sherman Act claim.
