An individual shareholder has sued the board of Dow Jones:The suit, which is seeking a class action against family members, said they "failed to exercise sound and proper business judgment" and "are not acting in good faith and have deliberately breached their fiduciary duties" toward public shareholders.Dow Jones is a Delaware corporation, and this sort of claim would be governed by Delaware law.
