The Lower Court Proceedings Bontempo filed suit soon afterward under Maryland Code, Corporations & Associations § 3-413 which, like § 1104-a of New York’s Business Corporation Law, authorizes a minority shareholder of a close corporation to petition for judicial dissolution on grounds of “illegal, oppressive, or fraudulent” acts by the directors or those in control of the corporation.
