I previously wrote about a Delaware Chancery Court decision in Paul v Delaware Coastal Anesthesia, LLC in which the court upheld the removal of a manager by written consents of the majority members based on the absence of any provision in the LLC agreement expressly negating the Delaware LLC Act’s default rule, analogous to New York’s LLC Law § 407(a), allowing member action by written consent in lieu of meeting.
