Take, for example, the Appellate Division’s 2004 decision in Lyons v Salamone where, in a statutory dissolution suit brought by a 20% member of an LLC, the court held that it was “an equitable method of liquidation to allow either party to bid the fair market value of the other party’s interest in the business, with the receiver directed to accept the highest legitimate bid.
