Yesterday I argued that there isn’t anything unconstitutional about the California rule: either it’s a state rule of contract definition that merits deference for federal-law purposes; or it’s merely a super-protective rule of California constitutional law, which California courts are entitled to adopt as a matter of their own constitution.
